Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Elara, a virtual-receptionist service operated by Cerdified LLC(“Elara”, “we”, “us”, “our”). By accessing or using the service, you agree to these Terms. If you do not agree, do not use the service.

1. The service

Elara is an AI receptionist that answers calls on behalf of residential property-management companies. It handles leasing inquiries and tour scheduling, resident questions, maintenance triage, emergency dispatch, and owner and vendor calls, and records the resulting information into the systems our clients use. The service is provided to businesses for their commercial use.

2. Eligibility & authority

You represent that you are at least 18 years old and that you have authority to bind the organization on whose behalf you use the service, including authority to designate the contacts, on-call personnel, and escalation rules you provide to us.

3. Acceptable use

You agree not to use the service to:

• violate any law or any third party’s rights;
• provide consumer contact information without the consents and notices required by applicable telemarketing, recording, and messaging laws;
• interfere with, disrupt, or attempt to gain unauthorized access to the service;
• misrepresent your identity or authority.

4. Your responsibilities & compliance

You are responsible for the accuracy of the data you provide and for your own compliance obligations, including fair-housing laws, call-recording and consent requirements, and obtaining any consents needed before designating a person to receive calls or text messages. Elara assists your team; it does not replace your professional judgment, your legal obligations, or a licensed professional’s advice.

5. Third-party services

The service relies on third-party providers (for example, telephony, messaging, hosting, and property-management systems). Your use may be subject to those providers’ terms, and we are not responsible for their acts or omissions.

6. Intellectual property

We and our licensors retain all rights in the service, including its software, models, and design. You retain rights in the data you provide. You grant us the rights necessary to process that data to provide, secure, and improve the service.

7. Disclaimers

The service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that it will detect or correctly handle every call or emergency.

8. Limitation of liability

To the maximum extent permitted by law, Cerdified LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability arising out of or relating to the service will not exceed the amounts you paid us for the service in the twelve months before the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless Cerdified LLC from claims arising out of your use of the service, your data, or your breach of these Terms or of applicable law.

10. Term & termination

Either party may terminate as set out in the applicable order or agreement. We may suspend or terminate access if you violate these Terms or create risk for the service or others.

11. Governing law

These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located there.

12. Changes

We may update these Terms; we will post the revised version here with a new effective date. Continued use after changes take effect constitutes acceptance.
